TERMS AND CONDITIONS
Spring Exclusive Auction – Investment Properties
- Legal Backing and Notarial Supervision
This auction will be conducted with the formal backing of Public Notary No. 14, led by Mr. Enrique Rojas Zavaleta, who will officially certify the acts carried out during the event in accordance with current Mexican legislation.
All bids, awards, and formalizations will be subject to notarial supervision, ensuring legality, transparency, and legal certainty for all parties involved.
Participation in the auction implies the express acceptance that the process will be carried out under these legal guidelines.
- Registration and Participation
To participate in the auction, interested parties must:
• Complete the corresponding registration.
• Present a valid official identification.
• Sign a letter of intent to participate.
• Fully accept these Terms and Conditions.
The organization reserves the right to admit and validate participants.
- Auction Mechanics
• Each property will begin with a previously determined base price.
• Bids must be placed in accordance with the format established on the day of the event.
• The property will be awarded to the highest bidder validated by the notary present.
• The award creates a binding obligation to formalize the transaction under the agreed terms.
In the event of a tie or dispute regarding a bid, the notary will determine the applicable criteria in accordance with the relevant regulations.
- Formalization and Payment
The participant whose bid is declared the winner must:
• Sign the corresponding award certificate.
• Make the required deposit or guarantee payment.
• Initiate the formalization process before a notary within the specified timeframe.
Specific timelines and payment structures will be communicated in advance to each participant.
- Legal and Tax Advisory
From registration through the final execution of the deed or corresponding legal instrument, the participant will receive professional guidance.
If additional legal, tax, or structural advisory is required, it may be coordinated directly with the notarial team to ensure clarity and security in the transaction.
- Properties with Possession Deed (Acta de Posesión)
Some participating properties may hold a possession deed.
This structure is recognized and commonly used in the region, provided that its management and formalization are conducted in accordance with the law. In such cases:
• Documentation and background records will be verified.
• The legal status of the property will be reviewed.
• The appropriate procedure for proper formalization will be established.
The participant declares having been informed of the legal nature of the property prior to submitting a bid.
- National and International Participants
Foreign buyers may participate in accordance with current Mexican legislation.
Where applicable, the appropriate legal mechanisms will be used for acquisition by foreign nationals, including a bank trust (fideicomiso) or other legally permitted structures, depending on the location of the property.
The organization will coordinate compliance with the necessary requirements to provide legal certainty equivalent to that of a national buyer.
- Participant Declarations
By registering and participating, the interested party declares that:
• They have the legal and financial capacity to participate.
• They have received sufficient information regarding the property of interest.
• They understand the nature of an auction and the binding obligation of a winning bid.
• They accept that the process is conducted under notarial supervision. - Limitation of Liability
The organization acts as a facilitator of the auction process.
Final formalization will depend on compliance with the legal, tax, and contractual requirements applicable to each transaction.
Acceptance
Participation in the auction implies full acceptance of these Terms and Conditions.
